Terms of Service

1. Agreement
These Terms of Service ("Terms") govern the use of the website and services provided by Kwiqwork Tech Studio LLP ("Kwiqwork," "we," "us," or "our"), a Limited Liability Partnership registered in India. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services
Kwiqwork provides software development services including but not limited to white-label development, dedicated product engineering teams, MVP development, staff augmentation, AI feature development, and fractional CTO services. The specific scope, timeline, and deliverables for each engagement are defined in individual Statements of Work (SOW) or service agreements.
3. Intellectual Property
Unless otherwise specified in a separate agreement:
- Client ownership: All custom code, designs, and deliverables created specifically for a client engagement are owned by the client upon full payment. You receive complete source code and all associated intellectual property rights.
- Pre-existing materials: Kwiqwork retains ownership of its pre-existing tools, frameworks, libraries, and methodologies. Clients receive a perpetual, non-exclusive license to use any pre-existing materials incorporated into their deliverables.
- Open-source components: Deliverables may incorporate open-source software, which remains subject to its respective license terms.
4. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to business plans, technical specifications, client data, and financial information. Confidentiality obligations survive the termination of the engagement. A separate Non-Disclosure Agreement (NDA) may be executed upon request.
5. Payment Terms
- Dedicated teams and staff augmentation: Monthly invoicing, net-15 payment terms, with a minimum initial commitment as specified in the service agreement.
- Fixed-scope projects (MVP): Payment milestones as defined in the SOW, typically 40% upfront, 30% at midpoint, and 30% upon delivery.
- Fractional CTO: Monthly retainer paid in advance.
- Late payments: Invoices unpaid beyond 30 days may incur a late fee of 1.5% per month. Kwiqwork reserves the right to pause work on accounts with outstanding payments exceeding 30 days.
All prices are quoted in USD unless otherwise agreed.
6. Warranties and Guarantees
- Trial period: Dedicated team engagements include a 2-week paid trial. If the client is not satisfied, no further charges apply.
- Replacement guarantee: If a team member is not a fit, Kwiqwork provides a free replacement within 2 weeks.
- Quality: We warrant that all deliverables will be developed in a professional and workmanlike manner, consistent with generally accepted industry standards.
7. Limitation of Liability
To the maximum extent permitted by law, Kwiqwork's total liability for any claim arising from or related to the services shall not exceed the total fees paid by the client to Kwiqwork in the 12 months preceding the claim. Kwiqwork is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
8. Termination
- By client: Clients may terminate with 2 weeks written notice for dedicated teams and staff augmentation. Fixed-scope projects may be terminated at any milestone with payment for completed work.
- By Kwiqwork: Kwiqwork may terminate the engagement with 2 weeks written notice, or immediately if payment is overdue beyond 30 days.
- Upon termination: All completed work and source code are delivered to the client. Outstanding payments become immediately due.
9. White-Label Engagements
For white-label partnerships, Kwiqwork operates as a dedicated extension of the client's team. We do not contact the client's end customers directly, do not use the client's brand without permission, and maintain strict confidentiality about the partnership unless mutually agreed otherwise.
10. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or services shall be resolved through good-faith negotiation first, followed by arbitration under the Arbitration and Conciliation Act, 1996, if necessary. The seat of arbitration shall be India.
11. Website Use
The content on this website is provided for informational purposes. Kwiqwork reserves the right to modify website content, services, and pricing at any time. Published pricing is indicative and subject to confirmation in individual service agreements.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.
